Purpose: This Merchant Service Agreement (hereinafter referred to as "this Agreement") is entered into by and between the merchants (hereinafter referred to as "Merchant" or "You") of the FibreCloud Fiber Platform (website URL: https://www.chinafibermarketing.cn/, the same below) (hereinafter referred to as the "Platform") and the Platform operator, namely Shanghai Ranglei Intelligent Technology Co., Ltd. (hereinafter referred to as "Shanghai Ranglei"), concerning Platform services and related matters. This Agreement has contractual effect, and you shall read and comply with this Agreement. Please carefully review and fully understand the content of each clause, especially those highlighted in bold and underlined for your attention. Additionally, please pay special attention to and understand the following provisions:


★ The formation, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China. In the event of any dispute arising from the content or performance of this Agreement, the parties shall first seek to resolve it through friendly negotiation; if negotiation fails, either party may file a lawsuit with the people's court at the registered address of Shanghai Ranglei Intelligent Technology Co., Ltd.

General Agreement Naming Rules

 

FibreCloud Business Platform: A platform established and maintained by Shanghai Ranglei Intelligent Technology Co., Ltd., providing internet information services and related software and technical support (website URL: http://www.chinafibermarketing.com or other URLs including computer or mobile device internet URLs as modified by FibreCloud Business from time to time according to business needs) and merchant client terminals (such as mobile APPs).

 

Supplier Member: Refers to a seller user registered on the FibreCloud Business Platform who publishes company or product information, offers to sell, or sells goods.

 

Buyer Member: Refers to a buyer user registered on the FibreCloud Business Platform who publishes company or product procurement demand information, participates in group purchasing/group buying models, or acts as an agent for overseas procurement demands.

 

Technical Services: Refers to the supplier membership information, supplier 360° digital marketing, supplier intelligent data, and other software technical services ordered by the user from FibreCloud Business under this Agreement, subject to the specific service ordering page descriptions or service terms. Technical services may be ordered independently or in combination based on the ordering page descriptions or service terms.

 

Supplier Member Information Software Service: Refers to entry-level software services such as online storefront, product display, mobile APP product display, as well as industry-level technology and software services such as blockchain data notarization and online banking settlement support provided by FibreCloud Business, subject to the specific ordering page descriptions or service terms.

 

Supplier 360° Digital Marketing Service: Refers to services provided by FibreCloud Business such as priority industry group purchasing services, internet multi-dimensional promotion, targeted industry single-point push, and industry map openness, subject to the specific ordering page descriptions or service terms.

 

Supplier Intelligent Data Service: Refers to nonwoven data monthly, quarterly, and annual reports, nonwoven fabric data monthly, quarterly, and annual reports, smart factory upgrade solutions, etc., provided by FibreCloud Business, subject to the specific ordering page descriptions or service terms.

 

International Business Cooperation Service: Refers to foreign trade information lead generation, international trade import and export agency, etc., provided by FibreCloud Business, subject to the specific service terms.

 

Other Services: Refers to all services provided free of charge under this Agreement, its appendices, service terms, ordering pages, product descriptions, rules, or service orders, and/or various services provided free of charge due to promotions, feature testing, increasing website traffic, etc. For example, buyer procurement information publishing, participation in group purchasing/group buying, and other services.

 

Rules: Refers to all FibreCloud Business Platform rules, including all rules, ordering instructions, investment promotion rules, product descriptions, announcements, etc., published and to be published in the APP, official account, analysis center, data center, and other sections.

 

Information Materials: Refers to all information provided, entered, or selected for publication by the user, including products, keywords, company, business, transaction-related information and materials, etc.

 

Service Activation: Refers to the process by which FibreCloud Business allows the user to use the technical services on the FibreCloud Business Platform after the user has completed contract signing and fee payment, passed FibreCloud Business review and/or third-party authentication, and met the relevant ordering and activation conditions.

 

Seller Industry Diagnosis: Refers to the standards such as relevant indicators used by FibreCloud Business to analyze and assess seller users from multiple dimensions to enhance buyer experience and platform seller operational capabilities.

 

 

 

 

 

 

General Contract Terms

Article 1  Contract Scope and Effectiveness

1.1 This Agreement includes the main body and all rules of FibreCloud Business that have been published or will be published and legally notified to users. All rules published on the FibreCloud Business Platform, APP, and official account are an integral part of this Agreement and have the same legal effect as the main body of this Agreement.

1.2 To continuously improve user experience and adapt to legal and regulatory requirements, FibreCloud Business may modify this Agreement as needed. For changes that affect users' rights and obligations, FibreCloud Business will provide at least 7 days' notice on the FibreCloud Business Platform website. Once effective, amendments to this Agreement shall constitute supplements to the rights and obligations of the parties and become part of this Agreement. If the user does not agree with the relevant changes, they must notify FibreCloud Business, and FibreCloud Business may choose to terminate the relevant changes or either party may choose to terminate the agreement before the changes take effect (the user may actively opt-out in the backend). If the user continues to log in or use FibreCloud Business technical services after the relevant changes take effect, it shall be deemed that the user accepts the revised agreement. Unless otherwise stated or agreed upon in a separate agreement, any expansion of service scope or enhancement of software functions by FibreCloud Business for the purpose of improving user experience, upgrading platform services, etc., shall be governed by this Agreement.

 

 

Article 2 Membership Services and Ordering

2.1 Eligible FibreCloud Business Platform users may register, order, and use technical services. Specific ordering conditions and processes can be found on the relevant technical service ordering pages or service terms. Since FibreCloud Business's nonwoven seller users adopt a platform review invitation system, nonwoven seller users may make online purchases through FibreCloud Business on their own. When the user clicks "Confirm and Submit Order," it indicates that the user accepts all terms and conditions of the "Service Order" and this Agreement. Nonwoven platform buyer users may register as members on their own and separately purchase services for data center, smart factory, and other service modules.

FibreCloud Business reminds users: Before using technical services, users should fully understand and master the functions of the technical services, carefully read the operation instructions and/or user guides and service validity period of the technical services, and strictly follow the operation instructions and/or user guides when using them. The user undertakes that all legal consequences arising from activities conducted through the technical services shall be borne solely by the user. If the user's use of the technical services causes FibreCloud Business and/or its affiliates or any third party to bear related liability, the user shall fully compensate FibreCloud Business and/or its affiliates or any third party for related expenses and losses, including reasonable attorneys' fees.

2.2 Users must use their FibreCloud Business account and self-set password to log in to the FibreCloud Business website and APP when using technical services. Users shall properly keep their account and password information. As the account is associated with the user's and FibreCloud Business's commercial information and may involve buyer users' interests, users may not transfer or authorize others to use the account without FibreCloud Business's consent. Otherwise, FibreCloud Business may terminate the provision of services to that account.

Except where FibreCloud Business is at fault, the user shall be responsible for all actions and results under the account (such as online contract signing, publishing and disclosing information, online payment, etc.). Actions completed through the account shall be deemed as user actions or actions with full user authorization.

2.3 To use the services under this Agreement, users must submit relevant information and supporting documents according to ordering standards, rules, page prompts, and other requirements. The user understands and agrees that they are obligated to ensure that the information and materials provided are true, lawful, accurate, and valid, and must be updated promptly if any changes occur. Based on relevant laws and regulations, platform management requirements, etc., the user agrees that FibreCloud Business may conduct random checks on user information and supporting documents and request more information or supporting documents for the aforementioned purposes.

2.4 To protect the legitimate rights and interests of users and related parties, users understand and agree to accept the data platform services provided by FibreCloud Business and strictly comply with the relevant regulations on advertising management of the service platform, such as the FibreCloud Business 2020 Advertising Management Regulations (URL: http://www.chinafibermarketing.cn/terms).

 

 

Article 3 Technical Services

3.1 The content of membership services shall be based on the specific order. FibreCloud Business provides users with Supplier Member Information Software Service, Supplier 360° Digital Marketing Service, Supplier Intelligent Data Service, International Business Cooperation Service, Buyer Member Service according to the relevant ordering page descriptions or service terms. FibreCloud Business has the right to update relevant service standards and rules from time to time. If FibreCloud Business optimizes or upgrades any of the above content, users shall use the service according to the rules prevailing at that time.

3.2 The user understands and agrees that, unless otherwise specified, all services with specific functions or effects provided by FibreCloud Business under this Agreement are only guaranteed to be realized when accessed from the FibreCloud Business homepage through the standard World Wide Web. For channels such as mobile internet, APP, or multilingual sites, FibreCloud Business has no obligation to guarantee that the above services can be fully or partially realized due to user experience, device development, technical limitations, and other reasons.

3.3 FibreCloud Business continuously improves the services under this Agreement. Except where nonwoven seller members enter into exclusive sales agency agreements for nonwoven sales with FibreCloud Business, FibreCloud Business makes no guarantee or commitment regarding the user's access traffic, product sales volume, business performance, investment returns, etc., after using any of the above technical services.

3.4 The benefits, features, and functions provided to users may vary depending on time, region, and conditions. Unless expressly agreed, FibreCloud Business makes no warranty or representation regarding the provision of specific features or functions or the provision of features and functions of the same type and scope.

3.5 FibreCloud Business has the right to provide technical services to users in the combination, form, and timing, etc., determined by it, and shall be exempt from legal liability arising from related information materials where no substantial changes are made to their content.

3.6 FibreCloud Business has the right to modify this Agreement, the form of technical services, and the usage rules for various functions of technical services. For FibreCloud Business content mentioned in this Agreement, including but not limited to FibreCloud Business's brand, entity name, product names, names of various terms (such as "FibreCloud Business Group Purchasing Service"), search result scope and URL, etc., FibreCloud Business has the right to modify and/or change them from time to time and provide notice on the FibreCloud Business website. If the user continues to use the technical services, it shall be deemed that the user accepts the relevant modifications. In the event of any dispute, the latest rules, page descriptions, service terms, and other relevant provisions shall prevail.

3.7 Third-Party Software/Service Description

1) The user understands and confirms that technical services may include services and/or software provided by third parties. FibreCloud Business only provides this functional module for the user's convenience. If the user needs to use such services and/or software, they shall separately enter into a service and/or software agreement with the third-party service and/or software provider, pay corresponding fees, and bear possible risks. FibreCloud Business does not issue third-party service fees and/or sales invoices and does not provide any form of warranty or guarantee for third-party services and/or software, nor does it assume any liability.

2) When the user uses FibreCloud Business technical services while simultaneously using third-party services, the user authorizes FibreCloud Business to transmit information about the user's use of technical services to the third party or to obtain information provided or generated by the user when registering for or using the third party's services.

3) The user understands and agrees that whether the user complies with the agreement with the third party regarding the use of the third party's services shall be one of the conditions for determining whether the user is performing this Agreement in good faith. If the third party confirms that the user has violated the agreement between the user and the third party regarding the use of such services, FibreCloud Business has the right to rely on the third party's determination to suspend or terminate the merchant tool software services or take other restrictive measures without bearing any liability.

 

 

Article 4 Service Fees and Payment Methods

4.1 FibreCloud Business has the right to charge service fees for the technical services under this Agreement. The standard of service fees shall be as published or notified by FibreCloud Business on its website or in other written forms. The user shall pay the full contract fee in a lump sum to the account designated by FibreCloud Business within 5 working days from the date of contract formation. The payment bank account shall be consistent with the user's name. To encourage users to improve service quality and transaction volume, FibreCloud Business may provide users with preferential conditions or payment conditions as published on the FibreCloud Business Platform, subject to FibreCloud Business's publication or notification on the platform.

4.2 After FibreCloud Business receives the full contract fee, the user may log in to "FibreCloud Business" or the "CFM" APP to apply to FibreCloud Business for a service fee invoice. 

4.3 If the user is in arrears on any amounts payable under other contracts entered into with FibreCloud Business or FibreCloud Business's affiliates, FibreCloud Business has the right to deduct the corresponding amount from the user's paid fees under this Agreement to offset part or all of the user's aforementioned payables and correspondingly shorten (up to early termination of the service) the delivery cycle of the services purchased by the user under this Agreement.

4.4 If specific technical services are terminated early or ended, and if this Agreement and related service terms provide for a refund, the user shall return the original service fee invoice issued by FibreCloud Business and simultaneously provide other documents required by laws, regulations, rules, etc., to FibreCloud Business before the refund.

 

 

Article 5 User Information Authentication

5.1 The user agrees that the technical services under this Agreement are all conditional upon the user's relevant information passing authentication by FibreCloud Business or a third party designated by FibreCloud Business.

FibreCloud Business has the right to verify or entrust a third-party company to verify the relevant information. If the user refuses or fails to cooperate with the verification or fails the verification, FibreCloud Business has the right to refuse to provide technical services.

5.2 The user agrees that the third-party company designated by FibreCloud Business has the right to conduct work independently based on its standards and issue corresponding reports. FibreCloud Business's selection and designation of third-party authentication companies and filming companies shall not be interfered with by the user.

5.3 The user shall truthfully explain the situation to the third-party authentication company and/or filming company designated by FibreCloud Business and provide the information, documents, and relevant proofs requested by them. The user shall cooperate with the authentication company and filming company based on the principle of good faith and shall not engage in dishonest practices such as fraud, concealment, or misleading, nor use improper methods to influence the authentication company or filming company to produce reports or videos favorable to the user. Otherwise, FibreCloud Business has the right to refuse to provide services without refunding any fees.

5.4 If the user fails the authentication, the relevant technical services need to be re-ordered, or additional service fees may be required for the authentication part. Please refer to the ordering page descriptions or service terms for details.

5.5 Once authenticated information changes, such as legal representative, company name or domicile, business location, main products, etc., the user needs to apply for re-ordering of technical services or re-authentication for the changed information. The user shall submit a written application within 10 calendar days after the change of authenticated information.

5.6 The above user information authentication defaults to the authentication of chemical fiber nonwoven seller user information. Buyer information, unless specifically required, shall be based on registration review and not subject to authentication.

 

 

Article 6 Service Activation

6.1 Both parties agree that the specific technical services ordered by the user, including service content, service activation period, and service period, shall be based on the service order and the records in the FibreCloud Business ordering system.

Services shall be activated within 5 working days after all of the following conditions are met:

1) Meeting membership conditions and service ordering conditions, and passing FibreCloud Business review after submitting information to FibreCloud Business;

2) The user has entered into this Agreement and ordering instructions or service terms by clicking confirmation online;

3) Full payment of service fees has been transferred to FibreCloud Business's account;

4) Nonwoven seller members must undergo FibreCloud Business offline review, and if authentication is required, they must have passed the relevant authentication;

5) FibreCloud Business has issued a service activation notice.

If the user fails to meet the activation conditions after accepting this Agreement online according to the relevant service terms, or if FibreCloud Business issues a notice refusing to provide technical services for any reason, FibreCloud Business may not activate the service and terminate this Agreement. If technical services are not activated and this Agreement is terminated, FibreCloud Business shall not bear any liability for breach of contract or compensation unless otherwise provided by law.

6.2 The user shall submit all Chinese information materials required for the service to FibreCloud Business within 5 working days after paying the contract fee, with electronic text limited to DOC, TXT formats and electronic images limited to JPG, GIF formats. FibreCloud Business will design and produce electronic documents after the user's submitted information materials pass FibreCloud Business's formal review. The user shall log in to their FibreCloud Business website account and confirm the "Platform Activation Acceptance Form" online within one working day after receiving it from FibreCloud Business. If the user fails to confirm online or in writing, it shall be deemed that the acceptance has passed. The user's information materials will be officially published on the FibreCloud Business Platform after passing acceptance or being deemed to have passed acceptance and satisfying the service prerequisites stipulated in the "Service Order."

6.3 FibreCloud Business has the right to review information materials provided or published by the user. If it deems them to be suspected of violating relevant laws and regulations or policy documents, violating the provisions of this Agreement, or being obviously inappropriate, it has the right to refuse to provide services for the relevant information materials, or require the user to modify or delete the relevant information materials, or directly delete the relevant information materials. The user understands and agrees that FibreCloud Business reserves the right to adjust, change, and revoke the form, content, rules, or corresponding delivery cycles of other services.

6.4 FibreCloud Business grants the user a limited, time-limited, non-exclusive, terminable, non-redistributable, and non-transferable technical service.

6.5 Usage Restrictions

6.5.1 During the service period, if the account for which the user has activated the technical service usage rights is subject to restrictions, including but not limited to being downgraded or restricted by the FibreCloud Business Platform due to its own rule violations, the use of technical services shall also be restricted, and the service period of the technical services shall not be interrupted or suspended due to such restrictions. After the restrictions are lifted, the user may continue to use the technical services until the expiration of the service period.

6.5.2 During the service period, if the account for which the user has activated the technical service usage rights is closed by the FibreCloud Business Platform due to its own rule violations, the use of technical services shall also be terminated accordingly.

In the event of suspension or termination of technical service use due to the above circumstances, the user agrees that FibreCloud Business has the right not to refund the service fees already collected and shall not be liable for any direct or indirect losses incurred by the user due to the suspension or termination of technical service use.

6.5.3 During the service period, the delivery cycles of other services provided free of charge shall not be extended or interrupted under any circumstances.

6.6 Description of Service Dependencies: According to the service terms, for the acquisition and normal use of blockchain authentication-type, payment interface-type technical services, and other services provided by FibreCloud Business or other third parties, FibreCloud Business solemnly reminds users that, to ensure that the technical services you ordered can be normally acquired and used, you must ensure that you have obtained the relevant technical services and that they are within their validity period.

6.7 The user shall follow the specifications for operation. Any losses caused by improper operation by the user shall be borne by the user. Improper operation includes but is not limited to failure to follow instructions, failure to operate in a timely manner, leaking passwords, bypassing security procedures, using malicious computer programs, etc. Any other unlawful use of technical services in any illegal manner, for any illegal purpose, or in any manner inconsistent with this Agreement is prohibited.

6.8 The user agrees to accept various information services provided by FibreCloud Business and/or its affiliates while using technical services.

 

 

Article 7   Platform Management and Regulations

7.1 The user shall comply with FibreCloud Business's existing and updated "Member Registration Agreement" and other website usage terms and other applicable website usage rules, and shall comply with the current "E-Commerce Law" and relevant current laws and regulations.

7.1.1 Entity Information Disclosure and License Display

1) All information materials provided to FibreCloud Business are true, lawful, and accurate, do not violate relevant laws, regulations, or policy documents, and the activities engaged in or proposed to be engaged in through the services under this Agreement are within the user's rights and capacity to act.

2) The user authorizes FibreCloud Business to entrust a third party to review its entity qualifications (hereinafter referred to as "Third-Party Authentication") and is obligated to cooperate with the third-party authentication.

3) When there are any changes to the entity qualification information, videos, and other information materials that have been third-party authenticated, the user shall promptly contact FibreCloud Business and authorize FibreCloud Business to entrust third-party authentication for the changed content and pay the resulting fees.

4) If the user voluntarily ceases operations, they shall provide a 30-day advance public notice.

7.1.2 Intellectual Property

1) The user has legal rights and authorization to use the information materials and sell the products involved in the information materials, and does not infringe upon the intellectual property rights or other legal rights of any third party. Based on internet-related characteristics, the user understands and acknowledges that goods published on the FibreCloud Business Platform may be browsed and purchased by users located in different countries and regions around the world. If the user has not explicitly indicated that sales are only directed at a certain country or region, the FibreCloud Business Platform will not intervene in any potential cross-border display, offering for sale, or sales. In such cases, the user must exercise caution regarding relevant national and regional laws, tax regulations, etc., and ensure they have the legal rights and qualifications to publish relevant product sales information and conduct sales without infringing upon the legal rights of third parties (including intellectual property rights and other legal rights).

2) The user shall not obtain others' information materials through unfair competition, nor make false or misleading representations about their company and/or products.

7.2 Data and Security

7.2.1 The user shall strictly comply with the requirements of network security and data protection-related laws. Among others, if the information collected, used, and shared by the user in the course of business involves buyer users' personal information, the user shall follow the principles of legality, legitimacy, and necessity, and shall not violate relevant legal provisions or agreements with buyer users, including: prohibiting the use of buyer users' information without their explicit consent or beyond the scope of their authorization, or illegally providing buyer users' personal information to others. The user shall take necessary technical measures to ensure data security. In the event of an information security risk or potential risk, the user shall immediately take remedial measures, promptly notify buyer users according to regulations, and report to the relevant competent authorities.

7.2.2 If the information submitted by the user involves personal sensitive information such as a copy of the legal representative's ID card or their ID number, the user warrants that they have obtained the explicit consent of the relevant personal information subject, and the purpose and behavior of the relevant use comply with the wishes of the individual and the requirements of relevant laws.

7.2.3 Except for data that the user is entitled to use commercially under relevant laws, the user agrees not to make any commercial use of any other data on the FibreCloud Business Platform, including but not limited to using any materials displayed by other users on the FibreCloud Business Platform by copying, disseminating, or disclosing to others without FibreCloud Business's prior written approval. It is prohibited to disclose, transfer, sell, license, or otherwise provide any data content obtained through technical services to any third party for use without FibreCloud Business's permission.

7.2.4 It is prohibited to take any measures or use any means to circumvent the security measures or security policies set by FibreCloud Business for technical services, including but not limited to prohibiting the use of third-party or proprietary tools to record, crawl, or otherwise obtain various data content in technical services through illegal or non-compliant methods. Users may only use the software within the authorized scope and are prohibited from sending information that violates laws and regulations or public order and good morals, and from sending and storing computer code, files, scripts, and programs that carry viruses, worms, trojans, and other harmful elements. It is prohibited to use technical services to publish, transmit, disseminate, or store content that infringes upon the intellectual property rights, trade secret rights, and other legal rights of others, or to engage in fraudulent activities, misappropriation of others' accounts and funds, and other illegal or criminal activities.

7.2.5 FibreCloud Business or its third-party partners have the right to collect, retain, process, analyze, and use the user's operational information and data on the FibreCloud Business Platform during the term of this service to better provide services to the user. Operational information and data include website and operator operational status, as well as FibreCloud Business Platform product usage status, etc. FibreCloud Business has the right to continuously retain the user's historical operational information and data on the FibreCloud Business Platform after the termination of this service. Unless otherwise agreed by the parties, your aforementioned authorization is free of charge, long-term valid, and irrevocable, and shall not be suspended, terminated, or become invalid due to the suspension, termination, or invalidity of this Agreement. At the request of domestic and foreign regulatory authorities, FibreCloud Business has the right to report the user's entity information, tax-related information, information related to special permits, and other rule violation information.

7.2.6 To promote the user's store or its products, FibreCloud Business may publicly disclose the user's total transaction volume during market activities organized by FibreCloud Business, the transaction volume of a certain category or a single product, and may also use the above information for promotional purposes.

7.2.7 The user hereby grants a free license to FibreCloud Business to copy (such as simultaneous display on multiple clients), modify (such as minor adjustments to adapt to mobile visual experience), adapt (such as adding overall platform activity design elements), translate (such as translation to meet the browsing needs of overseas buyers) various information (including product trademarks, logos, text, images, etc.) displayed by the user in their store on FibreCloud Business's relevant display and promotion pages for the purpose of promoting relevant products and/or brands, and has the right to sublicense the above rights.

7.2.8 The user authorizes FibreCloud Business to query and collect relevant information about the user and the user's directors, senior management, supervisors, and legal representative for matters related to the technical services under this Agreement, and warrants that it has obtained the explicit consent of the relevant personal information subjects, and the purpose and behavior of the relevant use comply with the wishes of the individuals and the requirements of relevant laws.

7.2.9 FibreCloud Business will establish a reasonable security system within its network systems, including an identity recognition system and an internal security protection system, to ensure the integrity and confidentiality of user data. However, the user understands and agrees that technological means are constantly evolving and FibreCloud Business cannot eliminate all non-security factors, but FibreCloud Business will promptly update its security system and properly maintain the network and related data.

7.3 FibreCloud Business has the right to accept complaints filed by any third party related to the user and, based on relevant evidence and its reasonable judgment, make appropriate handling of the complaints, including directly deleting the user's published relevant information materials. The user is obligated to cooperate with FibreCloud Business in handling such complaints. If the user fails to fulfill this cooperation obligation, FibreCloud Business has the right to suspend or terminate all services under this Agreement.

7.4 Due to the requirements of any domestic or foreign regulatory authorities, including courts, customs, tax, foreign exchange, etc., FibreCloud Business has the right to suspend or terminate all services under this Agreement for the user and only resume providing such services after the regulatory requirements have passed, without bearing any compensation or refunding any service fees.

7.5 Identification and Handling of Violations

7.5.1 The user shall use the technical services in accordance with the requirements of this Agreement and within the scope permitted by FibreCloud Business. Based on the characteristics of internet data services, FibreCloud Business will use a combination of data analysis and manual capture to identify, analyze, and judge the behavior of FibreCloud Business users. FibreCloud Business only needs to prove that the user's behavior is significantly abnormal compared to ordinary users and that there is a correlation between the abnormality and the violation to determine that the user is suspected of violating the rules. The user is obligated to provide evidence to reasonably explain their behavior within the agreed time. If FibreCloud Business determines that the explanation for the abnormal behavior is unreasonable or the evidence provided is insufficient, FibreCloud Business may determine that the user's violation is established and ultimately impose penalties in accordance with this Agreement.

7.5.2 After using a big data analysis system to investigate user usage behavior over a certain period, if abnormal situations are detected, or after manual capture and analysis, if there is preliminary evidence indicating significant abnormalities in the user's usage behavior, FibreCloud Business may determine that the user is suspected of violating the rules. FibreCloud Business will independently determine the temporary measures to be taken based on its independently determined facts (nature of the suspected violation, severity, etc., the same below). Temporary measures include warnings, suspension of technical service use, temporary revocation of usage rights, etc.:

1) If a suspected violation is determined, FibreCloud Business will send a notice to the user, including the temporary measures taken, appeal procedures and requirements, etc.

2) FibreCloud Business's big data analysis system involves FibreCloud Business's core trade secrets, and FibreCloud Business is not required to disclose the specific judgment logic to the user. If a violation is identified manually, FibreCloud Business may independently decide whether to disclose the specific basis for determination based on whether trade secrets are involved.

3) The user is obligated to prove the reasonableness and legitimacy of their abnormal behavior and submit appeal materials within 5 days after receiving the suspected violation notice, following the method specified by FibreCloud Business. FibreCloud Business will make a result determination based on the appeal materials and other content: if the appeal is successful, the suspected violation is not established, and FibreCloud Business will lift the temporary measures; if the appeal is unsuccessful or no appeal is made within the deadline, FibreCloud Business will determine that the violation is established: terminate the user's use of technical services, terminate this Agreement, and not refund the fees already collected.

4) You understand and agree that FibreCloud Business has the right to review whether your use of technical services constitutes a violation based on the knowledge level of an ordinary or non-professional person, and you acknowledge FibreCloud Business's violation review results and evidence (including but not limited to electronic evidence collected through technical means by FibreCloud Business and/or its affiliates). FibreCloud Business's handling of you in accordance with this Agreement and related rules does not exempt you from the legal liability you shall bear.

 

 

Article 8 Intellectual Property

8.1 Without FibreCloud Business's prior written consent, the user shall not use or authorize others to use, on their own or through others: FibreCloud Business's and/or its affiliates' enterprise names, trade names, trademarks, logos, any trade names, trademarks, domain names that are identical or similar to FibreCloud Business's or its affiliates' trade names, trademarks, or domain names, or any other identifiers; nor infringe upon the legal rights and interests of FibreCloud Business and/or its affiliates. If the user violates this clause, FibreCloud Business has the right to terminate this Agreement, and the user shall compensate FibreCloud Business and its affiliates for all losses incurred as a result (including investigation and evidence collection expenses, litigation fees, notarization fees, and attorneys' fees, etc.). FibreCloud Business has the right to deduct such losses directly from the remaining contract fees (if any), and the user shall still compensate for any shortfall in full.

8.2 All ownership and intellectual property rights (including but not limited to copyrights, trademark rights, patent rights, and trade secrets) in the technical services (including but not limited to data, images, documents, interface design, etc.) and related achievements belong to FibreCloud Business, including various documentation materials related to the technical services. All other rights not mentioned in this Agreement are also reserved by FibreCloud Business. Without FibreCloud Business's prior written consent, the user shall not implement, utilize, transfer, or permit any third party to implement, utilize, or transfer the above intellectual property rights for any commercial or non-commercial purpose. The user further agrees not to copy, translate, modify, adapt, enhance, decompile, disassemble, reverse engineer, decompose, dismantle, sell, sublease, or make any commercial use of any part of the technical services (software, page identifiers, service brands, information, content). The user agrees to restrain its employees, agents, consultants, or advisors who have the necessity to use the technical services from complying with the above obligations, and shall be responsible to FibreCloud Business for their violations of the above provisions as if the user itself had violated them. Selling, reselling, or copying, developing the usage rights granted by FibreCloud Business is prohibited; selling, renting, lending, or otherwise providing the account with activated technical service usage rights to third parties for use is prohibited; imitating FibreCloud Business's products and/or services for commercial purposes, copying and imitating FibreCloud Business's design concepts, interfaces, functions, and graphics are prohibited; modifying or creating derivative products and/or services based on the technical services or their content without FibreCloud Business's permission is prohibited.

8.3 The intellectual property rights in the results produced from FibreCloud Business's provision of technical services under this Agreement belong to FibreCloud Business, including but not limited to filming, authentication, reports, data, etc. FibreCloud Business has the right to independently determine the scope and manner of their use (provided that it does not affect the normal provision of services under this Agreement). Any report or video produced under this Agreement is only based on the on-site inspection/on-site filming of the authentication company and filming company and only reflects the situation at that time. When using reports and videos, the user shall use them in their entirety and shall not modify, excerpt, summarize, or permit others to use them. If FibreCloud Business deems the user's use inappropriate or harmful to the interests of FibreCloud Business and/or its affiliates, it has the right to require the user to correct it. If the user fails to correct it, FibreCloud Business has the right to suspend all services under this Agreement. If the user still fails to correct within 10 working days after the suspension of services, FibreCloud Business has the right to early terminate this Agreement without refunding any fees.

 

 

Article 9 Limitation of Liability

9.1 The services provided by FibreCloud Business under this Agreement shall be provided on an "as is" and "as available" basis. FibreCloud Business expressly disclaims any express or implied warranties for the services, including but not limited to warranties, declarations, or commitments regarding the applicability, error-free or omission-free, continuity, accuracy, reliability, or fitness for a particular purpose of the services. Except as required by law, FibreCloud Business assumes no responsibility for guaranteeing the legality of the application and use of the technical services. However, FibreCloud Business reserves the right to require users to provide materials proving the legality of their actions.

9.2 The user shall bear full responsibility for legal disputes arising from information materials, activities conducted through the FibreCloud Business Platform, or activities engaged in using the services provided by FibreCloud Business. Except for agency sales, group purchasing, group buying projects separately agreed upon between the user and FibreCloud Business, or where expressly provided by law, FibreCloud Business shall not bear any responsibility.

9.3 Because FibreCloud Business must provide services to a large number of users, and the service content is complex and technically demanding, you acknowledge that FibreCloud Business shall only bear liability for breach of contract or compensation for losses caused by its intentional misconduct or gross negligence or other circumstances expressly provided by law, with the specific amount limited to what is agreed by the parties or stipulated by law.

9.4 FibreCloud Business shall not be liable to the user for any failure to perform or delay in performing this Agreement due to causes beyond its reasonable control, including force majeure, government actions, and power or telecommunications outages.

9.5 In any case where FibreCloud Business is legally liable for compensation, the maximum amount of compensation shall be RMB 50,000.

 

 

Article 10 Contract Termination

10.1 Natural Termination: Unless otherwise agreed, this Agreement shall terminate simultaneously upon the completion of performance according to the service terms, the termination of the user account for any reason, the user's failure to meet the technical service ordering conditions, or the user's failure to meet the technical service activation conditions, etc.

10.2 Termination by Notice: Unless otherwise agreed, either party may terminate this Agreement by giving thirty (30) days' prior written notice.

10.3 This Agreement shall be automatically terminated under the following circumstances, unless otherwise agreed by the parties:

1) According to the FibreCloud Business Platform "Member Registration Agreement" and related rules, during the term of this Agreement, the user account is closed, including but not limited to: being complained against by a third party for malicious or serious breach of contract, such as receiving payment without delivering goods or delivering goods that seriously do not conform to the agreement, or for producing or selling counterfeit or shoddy products or other acts infringing upon the intellectual property rights or other legal rights of any third party, and failing to provide evidence within the reasonable period required by FibreCloud Business, or although evidence was provided within the above period, it failed to fully prove its claims. If the breach or infringement is serious, including when rights holders initiate litigation overseas, the user agrees that FibreCloud Business may impose relevant penalties according to platform rules.

2) The user uses the services under this Agreement to engage in fraud or other illegal or criminal activities.

3) The user uses the services under this Agreement or computer viruses/programs to illegally steal, use, delete, modify, or add any information on the FibreCloud Business Platform or of other users of the FibreCloud Business Platform, or otherwise endangers the normal operation of the FibreCloud Business Platform.

4) The user's registration is cancelled, or there are statutory dissolution circumstances such as revocation of business license, being ordered to close down, or being revoked during the term of this Agreement.

5) Without FibreCloud Business's written consent, the user allows others to use the services under this Agreement or transfers or partially transfers the services under this Agreement to others (including allowing others to use its account and password, or transferring its account and password to others), or sells buyer and/or buyer inquiry information obtained through the services under this Agreement.

6) The user enters into this Agreement under someone else's name, or leases or lends its business license to others for the purpose of entering into this Agreement, or forges or alters a business license.

7) The user is complained against by a third party for any form of dishonest business conduct, and the complaint is established three or more times. FibreCloud Business may rely solely on preliminary evidence or reasonable suspicion that the user may be involved in dishonest business conduct.

8) The user violates other provisions of this Agreement and fails to correct the violation within 10 working days after FibreCloud Business's written notice, or accumulates three violations of other provisions of this Agreement.

9) The user or its branches, entities affiliated with the user, or branches of such entities, in the course of using the services provided by FibreCloud Business or FibreCloud Business's affiliates' websites, have any of the above circumstances, or although none of the above circumstances exist, involve dishonest conduct resulting in account closure by FibreCloud Business or FibreCloud Business's affiliates' websites, regardless of whether the dishonest conduct of the user or its branches occurred during the term of this Agreement.

10) Judicial, law enforcement, or administrative authorities require the disposal of the user account or other related measures, including immediate early termination of this Agreement, freezing or closing accounts associated with the user, and/or executing other penalties stipulated by website-related rules.

10.4 Post-Termination Handling

1) After termination of this Agreement, FibreCloud Business has no obligation to retain any information related to the user's account or the technical services under this Agreement, or to forward any unread or unsent information to the user or any third party. Except as otherwise provided by law, FibreCloud Business shall not bear any liability to the user or any third party for the termination of this Agreement. Compensation and liability arising from the user's actions before the termination of this Agreement shall be fully and independently borne by the user.

2) After termination of this Agreement, FibreCloud Business has the right to retain the user's registration data and transaction behavior records. If the user had illegal conduct or conduct violating the provisions of this Agreement on the trading platform before termination, FibreCloud Business may still exercise the rights stipulated in this Agreement.

3) In the case of membership-type technical services, if the user has already reached a transaction with a buyer for a certain product before the termination of this Agreement, FibreCloud Business may choose not to cancel the transaction but may notify the buyer of the contract termination. The user's relevant online store will immediately enter the exit process upon FibreCloud Business's confirmation of the termination of the relevant services under this Agreement. During the thirty (30) day exit process, the user may and may only use its account to handle disputes and settle accounts, invoices, and other matters with FibreCloud Business.

4) If this Agreement is terminated during the contract period not due to the user's breach or fault, the user may, with the original invoice issued for this Agreement (if already issued) and a refund application, apply to FibreCloud Business for a refund of the relevant service fees for the unperformed portion to the user's bank account according to the ordering page descriptions or service terms of each service. However, the user agrees that FibreCloud Business will withhold the refund and the user's recharge account balance for 30 days to resolve performance disputes after termination or to compensate third parties for rights protection.

5) In other cases of termination, the unperformed service fees shall be directly offset against the liquidated damages or compensation payable by the user.

6) If FibreCloud Business terminates this Agreement under Article 10.3, it has the right to simultaneously terminate all other service contracts entered into with the user and/or its branches (i.e., service contracts other than this Agreement), and publicly announce this on the FibreCloud Business Platform and/or other media. In such case, FibreCloud Business is not required to refund the contract fees for the unperformed portion to the user and shall not bear any liability for breach of contract, and the service fees shall not be refunded.

 

 

Article 11   Liability for Breach of Contract

11.1 If the user terminates this Agreement early, the user shall pay FibreCloud Business liquidated damages equal to 20% of the total contract fee.

11.2 If the contract cannot be performed normally due to the user's reasons (including but not limited to late payment of contract fees, delayed submission of designated promotional information, failure to pass review even after submission, and other circumstances), the related losses shall be borne by the user.

11.3 If the user violates relevant laws and regulations, infringes upon third-party rights (such as rights holders, buyer users, or actual users of products/services), or commits other acts in breach of this Agreement, the user shall pay FibreCloud Business corresponding liquidated damages and compensation, including compensating FibreCloud Business for the losses suffered as a result (if any), including:

1) Reasonable attorneys' fees paid by FibreCloud Business and necessary expenses incurred to eliminate adverse effects.

2) Loss of FibreCloud Business's goodwill and loss of reasonably expected benefits (such as loss of buyer users, etc.), with the specific amount calculable based on third-party independent reasonable analysis, FibreCloud Business's big data reasonable analysis, and other reasonable methods of calculating benefits and losses.

3) Other losses suffered by FibreCloud Business as a result.

11.4 If your violation of relevant laws and regulations or the provisions of this Agreement and related rules causes any loss to FibreCloud Business and/or its affiliates, or subjects them to claims from other users or any third party, or penalties from any administrative authorities, you shall fully compensate FibreCloud Business and/or its affiliates, other users, or relevant third parties for their actual losses, including reasonable attorneys' fees.

11.5 If any amounts remain unpaid by the user to FibreCloud Business past the due date, unless otherwise agreed, the user shall pay FibreCloud Business a daily penalty of 0.5% of the unpaid amount from the date of default.

11.6 If the contract cannot be performed normally due to FibreCloud Business's reasons, FibreCloud Business shall correspondingly compensate by providing the services not provided as agreed or other services of equivalent value.

 

 

Article 12   Anti-Improper Benefit

12.1 The user shall not provide any form of improper benefit (including providing property, consumption, entertainment, or business opportunities, etc.) to the employees or consultants of FibreCloud Business and its affiliates, or to third-party authentication companies and their employees. Otherwise, FibreCloud Business has the right to immediately terminate this Agreement, and all related losses incurred shall be borne by the user.

12.2 In the course of business cooperation, if FibreCloud Business and its related personnel engage in illegal or disciplinary conduct that infringes upon the legal rights and interests of both parties, such as bribery, embezzlement, extortion, conflict of interest, fraud, leaking secrets, dereliction of duty, or abuse of power, the user may report to FibreCloud Business's supervision department. The identity of any whistleblower and the act of reporting shall be kept strictly confidential by FibreCloud Business's supervision department. Article 13   Applicable Law and Dispute Resolution

13.1 The formation, performance, validity, and interpretation of this Agreement shall be governed by the laws of the People's Republic of China.

13.2 Any dispute arising from or in connection with this Agreement shall be resolved through friendly negotiation between the user and FibreCloud Business. If negotiation fails, the dispute shall be submitted to the people's court at the domicile of Shanghai Ranglei Intelligent Technology Co., Ltd. for litigation.

 

 

Article 14 Miscellaneous

14.1 The user agrees that FibreCloud Business has the right to assign all or part of its rights and obligations under this Agreement to its affiliates. The scope of affiliates is limited to FibreCloud Business's subsidiaries, branches, holding companies, and companies under the same parent company's direct or indirect control. FibreCloud Business shall notify the user of such assignment in writing (including by website announcement or email), and the assignment shall take effect on the date specified in the notice or on the date of the notice.

14.2 The rights and obligations of the user and FibreCloud Business shall be governed by this Agreement, which supersedes any prior oral commitments or agreements between the parties. Any oral commitments or agreements not confirmed by FibreCloud Business's seal and not included in this Agreement shall have no legal binding force on FibreCloud Business.

14.3 Matters not covered in this Agreement shall be governed by the Platform's "Member Registration Agreement" and related agreement rules.

(Ordinary Member) 

I.  Ordering Conditions, Service Classification, and Fees

To ensure the professionalism and effectiveness of supply information, FibreCloud Business seller enterprise registration adopts an invitation system/industry recommendation system. Based on FibreCloud Business user invitation rules or industry expert recommendations, FibreCloud Business proactively invites industry seller members. Buyer users adopt a registration review system.

The Information Display Service module is a service window for seller users to accurately deliver supply information to FibreCloud Business's professional industry sector. It is a software technical service provided by FibreCloud Business for merchant users to realize their online marketing, procurement market quotations, and related functions.

In the Information Display Service module, seller users can actively publish product supply demands, and buyer users can independently select suitable sellers to make procurement invitations (i.e., "inquiry") and further negotiate to reach transaction intentions.

The Information Display Service is divided into identity authentication and ten other basic service contents. If FibreCloud Business's ordering instructions have other provisions, the ordering page shall prevail.

II. Service Content:

2.1 Identity Authentication

This service is currently free of charge. FibreCloud Business seller user registration adopts an invitation system/industry recommendation system. FibreCloud Business Platform assigns dedicated personnel or entrusts a third-party authentication company to visit and photograph the original or copy of the user's business license, and the third-party authentication company verifies whether the user has been approved for registration by the industrial and commercial administration authority and whether it holds a valid business license.

2.1.1 On-site Business Address Filming and Review

This service is currently free of charge. FibreCloud Business assigns dedicated personnel or entrusts a third-party authentication company to visit and film the user's actual business premises.

Filming content includes photos of the enterprise entrance, office environment, production workshop, warehouse, and sample room.

The user shall provide proof that they actually operate at the premises as required by FibreCloud Business (including but not limited to proof of ownership or right to use the premises).

FibreCloud Business will internally review or entrust a third-party authentication company to review whether the filming materials, proofs, or documents submitted by the user meet the requirements.

2.1.2 Authentication Information Display

This service is currently free of charge. In cases where the user creates and opens a store using FibreCloud Business's member activation tool or entrusts FibreCloud Business operations personnel to manage the store on their behalf, the user's authenticated business license information and actual business address will be displayed on the corresponding page of the user's store, and the blockchain digital token will be simultaneously activated. The specific display location shall be determined by FibreCloud Business. The display period is one year, calculated from the date of passing the on-site authentication. If the user does not open the store on the day of passing the on-site authentication, the display end date shall not be extended. If the information changes during the display, this service shall terminate.

2.2 Information Display Service

   FibreCloud Business Information Display Service provides merchant users with an industry platform service for product display, including online storefront, product information display, procurement information reception, fast online banking settlement, blockchain token display of merchant authentication information, mobile APP product display, sample sales, and other functions, and obtains optimization of merchant promotion plans through regular industry promotion diagnosis services.

 

 

III. Service Rules

3.1 FibreCloud Business has the right to unilaterally formulate its authentication standards and judge whether the user passes authentication based on its authentication standards. To cooperate with authentication, the user is obligated to fill out the "Authentication Information Confirmation Letter" and other documents required by FibreCloud Business and affix their seal for confirmation; and the user shall deliver the aforementioned documents and other information or materials required to support authentication (including but not limited to the authorized person's ID information for handling user authentication, the user's enterprise bank account information, etc.) in the required manner.

3.2 Once authenticated information changes, such as legal representative, company name, or domicile, etc., the user needs to apply for re-submission of authentication service for the changed information. The user shall apply for authentication in writing within 10 calendar days after the change of authenticated information.

3.3 The user clearly understands and confirms that they must separately order 360° Industry Promotion Services, Intelligent Data Services, International Business Cooperation, and other services. Otherwise, only ordering this service, the number of product information published by the user on FibreCloud Business shall not exceed 200, and the user's company information and product information shall only be passively displayed and cannot be actively transmitted to industry users.

3.4 The user warrants that the designated supply information and/or selected keywords published on the FibreCloud Business Platform and related channels do not contain any content that violates relevant laws, regulations, or policy documents, including but not limited to content that endangers national security, is obscene, false, defamatory (including commercial defamation), illegal intimidation or harassment, infringes upon others' intellectual property rights, personal rights or other legal rights or interests, or violates public order and good morals, or links pointing to such content.

3.5 The user warrants that the designated supply information and/or selected keywords submitted are true, accurate, timely, detailed, and complete and consistent with the relevant situation, without any misleading statements or false information. The user agrees to accept confirmation by FibreCloud Business via phone, email, or on-site visits. FibreCloud Business has the right to require the user to provide relevant supporting documents. Once FibreCloud Business so requires, the user shall immediately provide them. If the user fails to provide them, FibreCloud Business has the right to immediately stop this service without refunding the prepaid service fee balance.

3.6 The user warrants that it has legal rights and authorization to sell the products involved in its published designated supply information materials, and shall bear full responsibility for all legal disputes arising from the content, products, services, etc., of the designated supply information and/or selected keywords published, as well as from business activities conducted through FibreCloud Business's auxiliary services. This is except where FibreCloud Business shall bear liability as provided by law.

3.7 The user's use of this software service shall comply with this Agreement and other website rules and usage specifications, and the user warrants that it does not violate relevant laws and regulations or any other documents legally binding on the user, nor constitutes any form of infringement on any third party. The user warrants that FibreCloud Business will not be involved in any illegality, breach of contract, or infringement against any third party due to the provision of this platform software service to the user, and that the user has no malicious intent when registering for or using FibreCloud Business software services, such as not engaging in malicious bidding or malicious clicking.

3.8 The user hereby warrants that its use of this software service will not cause FibreCloud Business to face or be involved in any requests, demands, complaints, litigation, arbitration, claims, etc., raised by any third party due to advertising ranking, search result provision services, information services, and other acts. If so, the user hereby agrees that FibreCloud Business has the right to suspend or even terminate the provision of software services, and the user promises to compensate FibreCloud Business for any losses incurred as a result of such events (including but not limited to litigation fees, attorneys' fees, notarization fees, compensation, etc.). FibreCloud Business has the right to deduct such losses from the user's prepaid amounts.

3.9 FibreCloud Business has the right to delete at any time any designated supply information suspected of endangering national security, being obscene, false, defamatory (including commercial defamation), illegal intimidation or harassment, damaging to others' reputation or interests, infringing upon rights, or otherwise illegal or violating public order and good morals. If the user's above designated supply information is deleted by FibreCloud Business for the above reasons, the service fees paid by the user shall not be refunded.

3.10 FibreCloud Business has the right to independently determine whether a certain act constitutes malicious bidding and may unilaterally take any actions, measures, warnings, and/or penalties it deems necessary to ensure the integrity and normalization of the FibreCloud Business Platform software services.

3.11 To safeguard the market operation order of the FibreCloud Business Platform and protect the legitimate rights and interests of the majority of users, FibreCloud Business has the right to formulate and modify the Information Display Service market rules. FibreCloud Business has the right to reject product information publication that does not conform to market rules, including but not limited to products with mismatched quotations, missing key quotation information, mismatched main business, unauthorized use of well-known brands, or violations of other FibreCloud Business rules.

3.12 FibreCloud Business has the right to continuously improve the services under this Agreement, including but not limited to optimizing or upgrading the Information Display Service content, blockchain token, and APP. However, FibreCloud Business does not guarantee that users will obtain benefits after using the Information Display Service and making quotations (such benefits include but are not limited to: quotations being obtained by users, user feedback/contact/sample request/order actions and effects, etc.). Except where the merchant user separately enters into other additional service agreements with the FibreCloud Business Platform, FibreCloud Business makes no guarantee or commitment regarding the user's access traffic, product sales volume, business performance, investment returns, etc., after using the service.

 

IV. Service Activation

4.1 After passing FibreCloud Business Platform or third-party authentication, the user shall log in to their FibreCloud Business account and confirm the activation of this service online. If the user purchases a two-year or multi-year Information Display basic package service in one lump sum, they must cooperate with and pass third-party authentication again before the expiration of the first year's service period.

4.2 If the user fails to pass FibreCloud Business Platform or third-party authentication, FibreCloud Business has the right to suspend or terminate the service. When there are any changes to the user's entity qualification information that passed FibreCloud Business Platform or third-party authentication, the user shall promptly contact FibreCloud Business and authorize authentication for the changed content.

4.3 The service period of the Information Display Service shall commence from the day following activation; however, the commencement date shall be no later than the 15th calendar day after receipt of the service fee. If the Information Display Service cannot be used normally due to the user's reasons, the service end date shall not be extended, and the related losses shall be borne by the user. If the start date of the Information Display Service is delayed due to FibreCloud Business's reasons, the service end date shall be extended accordingly. The service period of the Information Display Service shall not be interrupted under any circumstances.

4.4 For domestic and international business cooperation, apart from platform information cooperation business, if specific distribution and agency service entrustment is required, a separate "FibreCloud Business Distributor Agreement" must be signed. The actual order operations for domestic and international trade shall be based on the content of the distributor agreement.
